The goods and services described in this website are available from JDEN Services only, and will be available for you to make an offer to JDEN Services via the website to purchase at the specified price on or before the end date specified in a current catalogue, or until otherwise removed from the website or as specified, and where JDEN Services accepts your offer, JDEN Services will sell the goods or services to you in accordance with these Terms and any Catalogue Terms.

    3. You and JDEN Services may enter into a sale contract for the sale and supply of products by you making an offer to JDEN Services via the website to purchase goods at the specified price, subject to these Terms.

    4. The JDEN Services logo and words are the intellectual property of JDEN Services.

    5. JDEN Services reserves the right to take legal action and seek compensation from the parent or guardian of a minor who causes an order to be placed for any loss or damage JDEN Services may suffer as a result of a transaction entered into by a minor.

  5. Orders

    1. Please choose carefully, as refunds are not usually provided where you have changed your mind, made a wrong selection or simply found the item cheaper elsewhere. We recommend you carefully preview any proposed Orders before adding them to your shopping cart and proceeding with your Order.

    2. If a refund or credit is granted, JDEN Services can take up to 14 working days to issue the credit or refund for any returned items. Items will need to be returned within 14 days from the time of approval. The cost of freight to send out your item will be deducted from the refund total.

    3. You and JDEN Services may enter into a contract for the sale and supply of products by you making an offer via the website to purchase a product at the price advertised on the website by:

    4. placing an electronic Order for the products using the website;

    5. you confirm the Order details in accordance with the procedure on the website;

    6. you make payment in full (plus any applicable delivery charges) on the website; and

    7. the acceptance of that offer by JDEN Services.

  10. If JDEN Services does not accept your order, it will notify you by telephone or email and arrange for a full refund of any payment you made to be processed.

  11. JDEN Services may, in its sole and absolute discretion, accept or reject any offer made by you for any reason (or no reason), including an error in the advertised price for, or description of, the products on the website, or an error in your Order.

  12. Any representations made about stock availabilities are accurate to the last known stock level and are subject to change. If JDEN Services cannot supply a particular product, JDEN Services will notify you by telephone or email as soon as possible.

  13. JDEN Services will be deemed to have accepted your Order on the first to occur of issue to you by email of a tax invoice for the sale and the fulfilment of your Order.

  14. Free Shipping promotion:

    1. During "Free Shipping Australia Wide" promotions, terms and conditions may apply for free shipping to regional areas in Australia. Freight charges may be incurred for orders shipped outside of Metro areas.

    2. Free Shipping is eligible for any purchase over $500. Exclusions apply for the following purchases and will incur a shipping charge:

    3. Purchases delivered to out-of-metro or remote areas, including islands.

    4. Products that exceed 1m in length or over 20kg in weight or 0.25 cubic metre in volume.

    5. Products that are special order or non-stock.

    6. The Free Shipping promotion period is only valid for a limited time and is subject to termination at our discretion.

    7. You will be contacted prior to delivery to confirm freight charges.

  15. Price

    1. Prices shown are in Australian dollars and include GST where applicable. Prices may not include delivery and handling charges. Prices are subject to change without notice.

    2. Each published saving in respect of a product is by reference to the lower of the recommended retail price of the manufacturer or the normal ticketed price of JDEN Services.

    3. Images of products shown without any advertised price beside that image are not offered for sale.

    4. Unless otherwise stated, any accessories shown in any product image are not included in the price.

    5. All limited-time promotional prices, specials, and other offers are set to AEDT (Australian Eastern Daylight Time) and will only be honoured during this time frame.

    6. We reserve the right to correct any errors published on the website.

  16. Payment

    1. All payments must be made in full prior to delivery.

    2. Payments must be made via Stripe, EFT or PayPal secure payment gateway facilities accessible via the website and will be subject to any terms and conditions of these providers.

    3. JDEN Services has the right to carry out security checks on all orders. The security check process involves splitting the payment into two amounts. The cardholder is then required to confirm the two amounts they were charged for the order to complete its verification and be released. JDEN Services will monitor orders daily and verify purchases should they not require the verification process, for example, but not limited to business addresses.

  17. Supply and Delivery

    1. Subject to your complying with these Terms and acceptance of your Order by JDEN Services Online, JDEN Services will sell and supply the products to you as shown on your Order confirmation.

    2. For stocked items, JDEN Services handling time is 1-5 working days. Products may not be available for immediate delivery. Some products are made to order, and these lead times vary from 10 to 30 days.

    3. When you complete your Order you will be prompted to select whether you wish to collect your Order from JDEN Services or to have the Order delivered to an address specified by you.

  18. Delivery by Post or Carrier

    1. The terms of this clause apply where you select to have your goods delivered to a specified address.

    2. The delivery address must be an address within Australia and cannot be a freight forwarding location. Deliveries cannot be made to PO Boxes. For deliveries outside Australia, they must be delivered to a registered and confirmed address and will be subject to confirmation.

    3. JDEN Services will use its best endeavours to deliver your Order within any stated timeframes for dispatch, however JDEN Services does not warrant that these timeframes will always be met, as many factors may affect these timeframes.

    4. JDEN Services does not include insurance as part of any product purchased; this will need to be purchased separately to protect our customers from any lost or damaged goods. JDEN Services does not accept liability for any goods lost or damaged in transit without insurance. Please contact us at admin@jdenservices.com.au to purchase insurance once you have placed your order. Please document your order number in your email.

    5. JDEN Services cannot and will not accept responsibility for delivery failures or delays by our third-party delivery contractor.

    6. JDEN Services or to have the Order delivered to an address specified by you.

  19. Orders for Collection at a JDEN Services

    1. The terms of this clause apply where you select to collect your Order from JDEN Services.

    2. If you select to collect your goods from JDEN Services, a representative of the relevant JDEN Services will contact you by telephone or email to notify you when the Order is available for collection.

    3. Orders for collection at JDEN Services must be collected at the time agreed. If your order is not collected within this time, JDEN Services has the right to allocate those goods to another customer and reorder them for you.

    4. When picking up your items, you are required to supply a copy of your order, photo ID and credit card used to make the purchase. (If you pay via PayPal, your credit card is not required).

  20. Title and risk in goods

    1. Title and risk in the products, such as loss and damage, pass to you on delivery or collection, as the case may be.

  21. PayPal and credit card fraud

    1. The website employs Stripe and PayPal as secure payment gateways to secure our payment systems.

    2. To the extent permitted by law, JDEN Services will not be responsible for any damages or consequential losses (whether direct or indirect) suffered by a user where a credit card or PayPal account is fraudulently used or is used in an unauthorised manner.

  22. Disclaimer and Indemnity

    1. To the extent permitted by law, JDEN Services excludes all liability to you or anyone else for loss or damage of any kind (however caused or arising) relating in any way to the website, including, but not limited to, loss or damage you might suffer as a result of:

    2. Errors, mistakes or inaccuracies on the website;

      1. You acting, or failing to act, on any information contained on or referred to on the website and/or any linked website;

      2. Personal injury or property damage of any kind resulting from your access or use of the website;

    3. Any unauthorised access to or use of the website's secure servers;

    4. Any interruption or cessation of transmission to or from the website;

    5. Any bugs, viruses, trojan horses or other harmful code or communications that may be transmitted to or through the website by any third party; and/or

    7. Except as expressly provided in these terms and to the fullest extent allowed by the law, JDEN Services and its third parties will not be liable for any direct, indirect, special, incidental or consequential damages arising out of your access to or use of the website.

You will at all times indemnify, and keep indemnified, JDEN Services, including their directors, officers, employees and agents, from and against any loss (including reasonable legal costs and expenses on a full indemnity basis) or liability incurred or suffered by you or by any of them arising from any claim, demand, suit, action or proceeding by any person against you or them where such loss or liability arose out of, in connection with or in respect of your conduct or breach of these terms.

    9. This clause is not intended to exclude or limit any rights that you may have under the Competition and Consumer Act 2010 (Cth).

  23. Order Enquiries

  24. Damaged or Faulty Products and Refund Policy

    1. If any product ordered by you arrives damaged or is not of acceptable quality, you may have: - (a) rights under the Refund Policy; - (b) Legal rights and remedies in Australia under the Competition and Consumer Act 2010 and other rights under other consumer laws applying in each Australian State and Territory; and/or - (c) To have the product repaired or replaced or to receive a refund of the price paid by you for the product.

    2. If you have changed your mind, you can exchange or refund your items, whether purchased online from JDEN Services, provided that:

      1. The items are returned within 14 days of purchase; and

      2. The item is returned in saleable condition. That is, the item is unused or unworn, in the original sealed packaging, tags attached, the item must not be broken or tampered with, the manual and accessories are included;

      3. A valid original invoice must be presented; and

      4. The item is not subject to the exclusions listed below.

    3. JDEN Services will assess the item to determine whether a refund or exchange will be offered in accordance with our Returns Policy. If the above conditions are not satisfied, a 15% restocking fee is applicable.

    4. If you wish to return an item back to JDEN Services, you are required to pay for all associated shipping costs.

    5. Please choose carefully when purchasing, as the following items are excluded from our Returns Policy and will not be accepted for a refund or exchange.

    6. Special order or non-stock products where items have been specifically ordered for you and are not part of JDEN Services’ core range.

    7. We recommend you carefully preview any orders before adding them to your shopping cart and proceeding with your order.

    8. We also recommend you immediately inspect any goods that we deliver to you or that you collect from JDEN Services to ensure you are completely satisfied with the goods, including that the goods are of acceptable quality and match the description we have provided to you.

    9. Signing the delivery note means you have received the goods and they are in good working order and take ownership for those goods. JDEN Services will not be liable for these delivered goods once the delivery note signed.

    10. Exchanges are accepted, given they are processed within 14 days from the time of delivery

    11. If your order arrives damaged, the quickest way to resolve the issue is to contact us using email admin@jdenservices.com.au.

  25. Delays

    1. JDEN Services will not be liable for any delay in performing any of their obligations if such delay is caused by circumstances beyond their reasonable control, including but not limited to, failure of or interruption in the provision of essential services such as electricity supply, bank payment systems or postal deliveries.​​

​​JDEN Services Warranty | 01.02.2024​

  1. Warranty

    1. JDEN Services warrants that all products supplied by it and purchased by you from JDEN SERVICES (‘JDEN Services’) are free of defects except for those products listed under Warranty Exclusions.

  2. Warranty Claims

    1. If you consider that the product supplied by JDEN SERVICES is defective, you can lodge a claim under this Warranty and any apparent fault, except for calibration, can be assessed by JDEN SERVICES within the Warranty Period covered for the product purchased by you provided that you meet the following conditions;

    2. The product is of merchantable quality and was used in a good working environment

    3. You must produce the original invoice or other proof of purchase document disclosing the purchase date.

    4. The customer pays for all costs of return postage, transport and freight, travelling expenses, and insurance.

    5. The product is free from defects in material and has not been misused, adjusted, or serviced by anyone other than a person or organization authorized by JDEN SERVICES.

    6. JDEN SERVICES provides this Warranty in addition to all other rights and remedies that you may have under law in relation to the products to which this Warranty relates.

    7. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

    8. To the extent permitted by law, all other warranties, whether implied or otherwise, not set out in these conditions of Warranty are excluded, and JDEN SERVICES is not liable in contract, tort (including, without limitation, negligence or breach of statutory duty) or otherwise to compensate the customer for:

    9. Any increased cost or expenses

    10. Any loss of profit, revenue, business, contracts or anticipated savings

    11. Any loss or expense resulting from a claim by a third party; or

    12. Any special, indirect or consequential loss or damage of any nature whatsoever

  3. Warranty Exclusions

    1. Unless otherwise agreed in writing, JDEN SERVICES has no liability for, and is not required to provide Warranty Services under this Warranty if it relates to:

    2. Warranty services outside of Business Hours,

    3. Misusing or abusing the product or any of the accessories included within the kit,

    4. Operating the product in a manner that is not in accordance with the Instruction Manual supplied with the product,

    5. Using any unauthorised, non-genuine or non-standard parts in connection with the Product,

    6. Using the product with knowledge of or evidence of partial failure or a fault,

    7. Tampering with the product in any,

    8. Not having taken reasonable steps to prevent damage or failure from occurring to the product,

    9. Storing the product inconsistently to the instructions provided,

    10. Repairing or carrying out work on the product by any person other than a person or organisation authorised by JDEN SERVICES.

  4. In addition to the above, this warranty does not cover the following.

    1. Accidental damage or damage caused by Force Majeure Events including:

    2. environmental factors,

    3. natural discolouration of material due to ultraviolet light,

    4. crushing, impact with hard surfaces or damage caused in the transit of the product or to any parts,

    5. damage caused by excessive heat or cold ,

    6. damaged caused by solvents, cleaning products or water entry into the product,

    7. abnormal product performance caused by any ancillary equipment interference or other external factors,

    8. Damage, failure or defects that occur for reason or reasons that were already disclosed to you or ought reasonably to have been disclosed to you prior to your purchase of the product,

    9. Normal wear and tear,

    10. Consumable items supplied with the product or that are part of the product.

    11. Freight cost associated with transporting the product between you and the place of purchase.

    12. No changes to these conditions are to be made without the written approval of the supplier.

  5. Governing Law

    1. These terms will be governed by and interpreted in accordance with the laws of New South Wales, Australia, and you irrevocably submit to the non-exclusive jurisdiction of the Courts of New South Wales, Australia. If any provision of these terms is found to be invalid or unenforceable by a court of law, such invalidity or unenforceability will not affect the remainder of this agreement, which will continue in full force and effect.

    2. If you access the website in a jurisdiction other than New South Wales, Australia, you are responsible for compliance with the laws of that jurisdiction to the extent that they apply. JDEN Services makes no representations that the content of the website complies with the laws of any country outside Australia.

  6. Severability

    1. If any part of these terms are found to be void, invalid, unlawful or unenforceable, then that provision or part will be deemed to be severed from these terms and the remaining terms and provisions of these terms will remain in force and constitute the agreement between you and JDEN Services.

  7. Transfer and Assignment

    1. If JDEN Services merges, sells, or otherwise changes control of its business or this website to a third party, JDEN Services reserves the right, without giving notice or seeking consent, to transfer or assign the personal information, content and rights that JDEN Services has collected from you and any agreements it has made with you.

  8. Waiver

    1. The failure by JDEN Services to exercise or enforce any right or provision under these terms will not constitute a waiver of such right or provision. Any waiver of any provision under these terms will only be effective if it is in writing and signed by JDEN Services.

  9. JDEN Services Refund Policy:

    1. If you have changed your mind, we may offer you an exchange or refund provided that:

    2. The items are returned within 14 days of purchase; and

    3. The item is returned in saleable condition. That is the item is unused or unworn, in the original sealed packaging, tags attached, the item must not be broken or tampered with, the manual and accessories are included;

    4. A valid original invoice must be presented; and

    5. The item is not subject to the exclusions listed below.

    6. We will assess the item to determine whether a refund or exchange will be offered in accordance with our Returns Policy. If the above conditions are not satisfied, a 15% restocking fee is applicable.

    7. If you wish to return an item back to JDEN Services, you are required to pay for all associated shipping costs.

  10. Excluded Change of Mind Items

    1. Please choose carefully when purchasing as the following items are excluded from our Returns Policy and will not be accepted for a refund or exchange.

    2. Custom orders or products where items have been specifically made for you and is not part of JDEN Services core range.

  11. Damaged or Faulty Goods:

    1. We recommend you immediately inspect any goods that we deliver to you or that you collect from a JDEN Services store, to ensure you are completely satisfied with the goods, including that the goods are of acceptable quality, and match the description we have provided to you.

    2. If your order arrives damaged, the quickest way to resolve the issue is to contact admin@jdenservices.com.au.

  12. Warranty Claims:

    1. If the product supplied to you fails under warranty, you can lodge a warranty claim with JDEN Services using admin@jdenservices.com.au.

    2. You will be required to produce the original invoice or other proof of purchase document disclosing the purchase date.

    3. All costs of return postage, transport, freight, travelling expenses, and insurance are paid by the customer.

    4. The product must not have been misused or adjusted.

    5. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.     2. Operating the product in a manner that is not in accordance with the information supplied.

    3. Tampering with the product in any way.

    4. Making mechanical adjustments.

    5. Not having taken reasonable steps to prevent damage or failure from occurring to the product.

    6. Neglecting or otherwise failing to maintain the product in accordance with any information provided.

    7. Repairing or carrying out work on the product by any person other than the manufacturer or an authorised representative of the manufacturer.

    8. Accidental damage or damage caused by Force Major Events, including environmental factors.

    9. Natural discolouration of material due to ultraviolet light

    10. Natural impact with hard surfaces or damage caused in the transit of the product or to any damage.

    11. Damage caused by excessive heat or cold.

    12. Damage caused by solvents, or water entry into the product.

    13. Damage caused by contact with sand, rust, corrosion, fire, vermin and insect infestation, power outages or surges or inadequate voltage or current.

    14. Abnormal product performance caused by any ancillary equipment interference or other external factors.

    15. Damage, failure or defects that occur for reason or reasons that were already disclosed to you or ought reasonably to have been disclosed to you prior to your purchase of the product.

    16. Normal wear and tear.

    17. Freight cost associated with transporting the product between you and the place of purchase.

    18. Products with serial numbers that have been altered or removed.

    19. Consumable items supplied with the product or that are part of the product.

  14. Shipping Costs

    1. If you wish to return an item back to JDEN Services, you are required to pay for all associated shipping costs.

​​​​JDEN Terms and Condition - Onsite Works  | 01.02.2024​
1.    Application of terms and conditions
a.    These terms and conditions (which are incorporated in the Quotation) comprise the entire agreement between, JDEN Services, (“we”,”us” or “our”) and the person, company or other entity identified as the Client in the Quotation (“you or “your”) for the performance of the Works by us.
2.    The Works
a.    in consideration for you paying to us the price in the manner and the times set out in the Quotation, we will perform the Works in accordance with these terms and conditions.
3.    Working hours and Site Access
a.    We will perform the Work during our normal working hours of 8.00 am to 5.00 pm. If you require us to perform the Works outside of our normal working hours, or access to the site is restricted in a way that means we cannot perform the Works during our normal working hours, this will deemed to be a variation and clause 10 shall apply.
b.    The Customer Representative “you” have nominated must be able to:
i.    Provide us with access to the site to carry out the Works, including gaining access to any locked or restricted access areas at the site, and
ii. Coordinate, to our reasonable requirements, the performance of any other Works at the Site or occupation of the Site by others to enable us to carry out the Works.
4.    Payment Terms
a.    You must pay the price as set out in the Quotation unless otherwise expressly stated in the Quotation, the price if not already indicated is exclusive of GST.
b.    We will invoice you for Progress Payments and the Final Payments at the times specified in the Quotation Form. If there are no Progress Payments specified in the Quotation, we may, in our absolute discretion, grant you delayed payment options.
c.    Invoices must be paid within 14 business days of the date of issue. If you do not pay an invoice by such date, you acknowledge and agree that you may be liable for late payment fees or charges, which may include all reasonable costs incurred by us in seeking to recover payment (such as legal fees and engaging a debt recovery agency). All invoices must be paid without any deduction and or retention. The existence of any dispute or claim in relation to the Works is not a valid reason for withholding or delaying the payment of any invoice.
5.    Site Conditions
a.    You acknowledge that the price is based on the Site being free from latent defects and or conditions which may affect the Works and being in the same condition as the date or issue of the quote. If we, acting reasonably, consider that latent defects or conditions or changed site conditions affect the performance of the Works, this will be deemed to be a variation and clause 10 shall apply. 
b.    Unless specifically included in the description of Works in the Quotation, no allowance has been made for site induction or training. Anytime we spend attending site inductions or training required in order for us to gain access to the site will incur additional costs based on a reasonable hourly rate per person (nominated by us) and will be payable by you (in addition to the Price).
c.    You will provide suitable site amenities (including power, water and toilet facilities) and, if requested by us, site storage facilities, at no cost to us.
6.    Substrate and surface conditions
a.    We may terminate our obligation to perform the Works if, in our view, failing to carry out the repairs or replacements may endanger the health or safety of us or any other person or any property and we may issue an invoice for that part of the Works which have been performed and materials supplied up to the date of such termination; or
b.    You request that we continue performing the Works, we will only do so on the basis that the warranty in clause 9 does not apply to any of the Works performed at the Site, you release us for any claim that may arise out of, or in connection with, our performance of the Works and indemnified from any loss or damage we may suffer (including by way of claim from any third party) in performing the Works.
7.    Delays
a.    The Price is based on the understanding that the Works will be carried out as one continuous project, without delay, with the provision of equipment and services by third parties and access to the Site as and when needed. Any delays due to reasons outside our reasonable control that result in additional costs or labour (including but not limited to inclement weather, industrial action, site inaccessibility or delays caused by your act or omission) will be assessed by us and charged to you at applicable hourly rates (in addition to the Price).
b.    If for any reason the Works are not completed by the estimated time for completion, we will provide you with a revised estimate for the timing and price of completion of the Works.
8.    Warranty
a.    Subject to clauses 6 and 7 we warrant the Works as stated in our Quote.
b.    You may only claim against the warranty provided under clause 8, if:
i.    You have paid the Price in full;
ii.    You have given us written notice of your intention to claim against the warranty within 14 days of the alleged defect first coming to your attention;
iii.    The alleged defect or defects are not excluded under the terms of any warranty provided by the manufacturer of the product used in the performance of the Works; and
iv.    Us concluding to our satisfaction acting reasonably, that the alleged defect does not arise out of, in connection with or in the vicinity of any latent Site conditions or Site risks (such as structural, building design, environmental conditions or Site risks identified in the Quotation Form), substrate or surface conditions (such does set out in clause 6), in areas of the Site noted in the Quotation Form as inaccessible during the Site inspection or any of your acts or omissions (including your failure to maintain the property in a reasonable condition or excessive wear and tear).
c.    The Warranty in clause 8 does not cover, and we will in no way be liable for any claim arising out of or in connection with:
i.    Substrates with existing corrosion or moisture ingress;
ii.    Surfaces affected by building movement or structural issues;
iii.    Settling, movement, cracking, lifting, peeling, flaking, deterioration or other failures of the substrate or a previous surface coating; 
iv.    Concrete surfaces affected by concrete cancer or with a carbon-contaminated concrete substrate;
v.    Ferric metals with existing rust condition or non-ferric metals with existing oxidizing issues;
vi.    Any galvanized metals whatsoever;
vii.    Any floor coating or natural timber coating performed in the course of the Works; and
viii.    Any part of the Work where we have notified you that a surface unsuitable for a particular Work to be carried out is not suitable, but you still want us to carry out the tasks. 
d.    In addition to the limited warranty under clause 8.1, you will also be entitled to any warranty provided by the manufacturer of paint products in the performance of the Works.
9.    Liability and indemnity
a.    This clause shall prevail over any inconsistency with any other provision of these terms and conditions.
b.    To the extent permitted by law, or conditions, warranties, guarantees, rights, remedies, liabilities and other terms implied or conferred by statute, costume or the general law that impose any liability or obligation on us are excluded. If the performance of the Works is a supply of goods or services to a consumer within the meaning of the Australian Consumer Law. To the extent that the Australian Consumer Law permits us to limit our liability, or is not applicable, then our liability in respect of any claim arising out of or in connection with the agreement between us and you relating to the Works or our performance or non-performance of the Works (whether arising under any contract, indemnity, statute, in tort (for negligence or otherwise), or on any other basis in law or equity) is limited (in each case at our option) as follows:
i.    in the case of services, supplying the services again or payment of the cost of having the services supplied again; and
ii.    in the case of goods, replacing the goods, supplying equivalent goods or having the goods repaired, or payment of the cost of replacing the goods, of acquiring equivalent goods or of having the goods repaired, we will not be liable to you for any claim in the nature of economic loss, loss of profits, revenue or anticipated savings, opportunity cost or any direct or indirect consequential loss whatsoever. 
c.    You must act reasonably to mitigate any loss you claim to suffer arising out of or in connection with the agreement between us and you relating to the Works or our performance or non-performance of the Works (whether arising under any contract, indemnity, statute, in tort (for negligence or otherwise), or on any other basis in law or equity). 
d.    Our liability may be reduced or extinguished to the extent your losses would have been reduced had you acted reasonably to the extent and in the manner required under the law to mitigate any such loss, including by notifying us immediately after becoming aware of any property damage that you allege we caused or contributed to in the course of performing the Works.
e.    You agree to indemnify and keep indemnified, us, our officers, employees, subcontractors and agents against all damage, expense, loss or liability whatsoever suffered or incurred, or any third party claim, which arises out of or in connection with any breach of your obligations under these terms and conditions or any of your acts or omissions, except to the extent that such damage, expense, loss or liability or third party claim is caused by, or is contributed to by, our act or omission.
10.    Variations
a.    Any variation or amendment to these terms and conditions or the information set out in the Quotation Form (such as the scope of Works) is only valid in writing and signed by you and one of our authorized officers before the variation or amendment takes effect. We cannot agree to variations or amendments to perform Work outside the agreed scope.
b.    We will generally only agree to variations that are within the general scope and nature of the Works and which are capable of being executed within these terms and conditions.
c.    As a condition to agreeing to any variation in the scope of the Works, we may require that the price and payment terms be varied (whether by applying an hourly rate to be paid for such variations or an additional lump sum price for such variations).
i.    Unless specifically identified in the Quotation as forming part of the Works, the following will be deemed to be variations: 
ii.    where the performance of the Works requires access to the property which adjoins the Site and you have been unable to secure access rights or access rights are reduced or withdrawn resulting in additional scaffolding or alternative access expenses. 
iii.    where the access methods on which the quote was based (such as scaffolding or EWPs (cherry pickers, booms, scissor lifts etc.) are restricted due to engineering issues or Site conditions (such as utility poles or wires or minimum clearances); and
iv.    any information relevant to Site access, the scope of Works or the estimated time to complete the Works which you knew (or after reasonable consideration and making reasonable enquiries prior to engaging us should have known) may affect the performance of the Works in any way but did not make available to us prior to accepting our quote.
11.    Dispute Resolution 
a.    If a dispute arises between us and you in relation to these terms and conditions or the performance of the Works, neither party can commence court proceedings (except if seeking urgent injunctive or interlocutory relief) unless it has first complied with clause 11. 
b.    The party claiming that a dispute has arisen must notify the other party of the dispute in writing giving reasonable details and particulars of the dispute. 
c.    If the parties are unable to resolve the dispute within 5 business days of receipt of the dispute notice (or such longer time as is reasonable for the parties to meet to discuss the dispute), the dispute must be referred to mediation. 
d.    If a mediator to conduct the meditation cannot be agreed, the President of the Institute of Arbitrators and Mediators Australia (or the President’s nominee) will appoint a mediator. The mediation is to be conducted in accordance with the rules set by the mediator, will be held in Sydney within 30 days of notification of the dispute and will be focused towards working together to resolve the dispute, such that the parties agree to use reasonable endeavours in an effort to resolve the dispute.
e.    The cost of mediation is to be borne equally between us and you.
12.    Termination
a.    We may terminate the agreement between us and you for the performance of the Works at our convenience by giving 5 days' written notice. We will be entitled to invoice you and be paid, for that part of the Work completed up to the date of termination. Clauses 4,6,9,11 and 13 survive any termination of these terms and conditions.
13.    Miscellaneous
a.    We may assign, novate or otherwise transfer any of our rights or obligations under these terms and conditions or the Quotation without your consent. We may subcontract any part of the Works without your consent
b.    The laws of the state of NSW govern the agreement between us and you for the performance of the Works and each of us submits to the non-exclusive jurisdiction of the courts of NSW. 
c.    Any notice required to be given in writing shall be deemed to be given if delivered by hand or sent by post to the person to whom it is necessary or required to give notice and shall in the case of posting be deemed to be received after the expiry of two full business days from the date of posting.
d.    If any provision of these terms and conditions is illegal or unenforceable, that provision is severed, and the remainder of the terms and conditions and provisions of the Quotation shall continue in force.
e.    Nothing in these terms and conditions gives rise to a relationship of partnership, servant, agent or employer and employee between us and you. 
f.    These terms and conditions constitute the entire agreement between us and you as to the subject matter of this document and supersede any prior agreement, understanding or representation between us and you and any terms provided by you that purport to govern our performance of the Works.
